Terms of Use.

A binding agreement covering accounts, youth safety, acceptable use, AI guidance, payments, and the limits of what Scout Signal promises.

Overview

These Terms of Use ("Terms") are a binding agreement between you and GAMEFILMSOLUTIONS LLC, a New York limited liability company, doing business as Scout Signal ("Scout Signal," "we," "us," or "our"). They govern access to and use of Scout Signal websites, applications, Scout Assist AI, PeakX (formerly PeakFuel), Sentric, team and league tools, event and partner features, content, subscriptions, and related services (collectively, the "Services").

By accessing or using the Services, creating an account, clicking to accept, or authorizing a minor to use the Services, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Services. Additional terms may be shown for a specific feature, event, purchase, contest, or partner service; those additional terms also apply.

1. Eligibility and minor accounts

  • Adults. You must be at least 18 to create an independent adult account and enter binding purchases unless the law where you live provides otherwise.
  • Users under 18. A parent or legal guardian must create, link, approve, or supervise a minor account as required by the product. The parent or guardian accepts these Terms on behalf of the minor and is responsible for permissions, settings, purchases, and appropriate use.
  • Children under 13. Access is permitted only through Scout Signal's approved parent-managed process and after verifiable parental consent when required.
  • Authority. If you use the Services for a team, league, school, company, facility, event, or other organization, you represent that you have authority to bind that organization for the activities you perform.

2. Accounts and security

You must provide accurate information, maintain current contact details, protect login credentials, and use only accounts and roles you are authorized to use. You are responsible for activity under your account except to the extent caused by Scout Signal. Notify us promptly of suspected unauthorized access, impersonation, or loss of account control.

You may not create accounts in bulk, transfer or sell accounts, share professional or parent credentials, evade a suspension, impersonate another person or organization, or misrepresent age, role, team, school, credentials, recruiting authority, or parent relationship.

3. Roles, verification, and trust signals

Scout Signal may offer roles such as Athlete, Parent/Guardian, Coach/Team Staff, Scout/Recruiter, Facility Staff, League Admin, Partner/Provider, Event Operator, and Platform Admin. We may require verification, references, organization email, credentials, identity checks, or other evidence. Verification is a limited platform trust measure, not a guarantee, endorsement, background check, license, or promise of safety or quality.

Users must stay within their authorized role. Recruiters and scouts must comply with all applicable institutional, athletic association, employment, education, and recruiting rules. Coaches, teams, leagues, facilities, and providers remain responsible for their own staff, screening, supervision, insurance, licensing, and conduct.

4. What Scout Signal provides - and does not promise

Scout Signal provides technology for discovery, communication, organization, education, athlete development, training support, events, media, and AI-assisted guidance. Scout Signal is not a sports agent, recruiting agency, school, governing body, medical provider, dietitian, emergency service, credentialing authority, or guarantor of any participant.

Scout Signal does not guarantee exposure, roster selection, playing time, rankings, recruiting contact, scholarship offers, admissions, eligibility, NIL deals, sponsorship, income, performance improvement, injury prevention, medical outcomes, or success. Decisions are made by independent users and organizations.

5. Acceptable use

You may use the Services only lawfully, safely, and for their intended sports, education, organization, and community purposes. You agree not to:

  • Harass, threaten, bully, groom, exploit, discriminate against, sexualize, or endanger another person, including a minor.
  • Request sexual content, intimate images, secrecy from a parent, private off-platform meetings with a minor, or direct contact that bypasses parent controls.
  • Publish a minor's home address, personal phone number, precise live location, private travel schedule, school documents, medical records, or other unsafe information.
  • Upload content you do not own or have permission to use, including film, music, logos, photos, or information about another person.
  • Create false recruiting opportunities, fake credentials, misleading rankings, deceptive offers, scams, pyramid schemes, gambling promotions, or unauthorized contests.
  • Use the Services to discriminate unlawfully in recruiting, employment, education, access, or participation.
  • Scrape, harvest, buy, sell, broker, export, or build unauthorized databases of profiles, contact details, media, messages, or youth information.
  • Circumvent access controls, parent gates, rate limits, security, subscription limits, or technical protections.
  • Upload malware, probe vulnerabilities without written authorization, disrupt service, or use bots or automation in a way that harms users or infrastructure.
  • Reverse engineer the Services except where law cannot prohibit it, or copy Scout Signal branding, interface, data structures, or proprietary content.
  • Use content or output to train a competing model, profile minors, conduct surveillance, or make unlawful high-impact decisions.
  • Encourage dangerous training, extreme weight change, eating-disorder behavior, substance use, violence, self-harm, or actions outside a person's qualifications.

6. Youth safety, messaging, and parent controls

Minor safety takes priority over convenience. Scout Signal may require message requests, parent approval, restricted contact, visible parent access, reporting tools, rate limits, and moderation. Users may not attempt to move a minor to private channels to evade safeguards or pressure a minor to conceal communications from a parent or guardian.

A parent or guardian may receive access to a minor's messages, requests, media, profile settings, assignments, purchases, reports, and safety notifications as provided by the product. A minor should not expect private communications from the linked parent within the Services.

Report suspected exploitation, grooming, credible threats, child sexual abuse material, trafficking, or immediate danger promptly. Scout Signal may preserve and report information to law enforcement or child-safety authorities when legally required or reasonably necessary. In an emergency, call 911 or the appropriate local emergency service; do not rely on Scout Signal.

7. Profiles, discovery, and recruiting communications

Users control profile information and visibility within available settings, subject to parent approvals for minors. Scout/recruiter search, watchlists, notes, comparisons, profile views, or contact tools are for legitimate evaluation and communication. They may not be used for stalking, discrimination, mass solicitation, resale, or unauthorized background screening.

Recruiting messages must be truthful, professional, and consistent with applicable association, school, conference, employment, and eligibility rules. Scout Signal does not verify every claim or determine whether contact is permissible under every rule set. Users are responsible for checking current official rules and their organization's policies.

8. Team, coach, league, and assignment tools

Authorized users may manage rosters, schedules, attendance, announcements, checklists, practice plans, workouts, film, plays, assignments, quizzes, or similar team activities. The organization remains responsible for supervision, coaching decisions, emergency plans, safe training conditions, athlete accommodations, content rights, and compliance with governing rules.

Coaches and administrators may not use assignments or performance data to humiliate, retaliate against, discriminate against, or medically diagnose an athlete. For minors, parent visibility and permissions apply as designed. Scout Signal may restrict or remove an organization that misuses the Services.

9. User content and permissions

"User Content" means information, text, photos, video, audio, documents, messages, ratings, comments, plays, assignments, portfolio material, or other content submitted through the Services. You retain ownership of your User Content.

You grant Scout Signal a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, and otherwise use User Content only as reasonably necessary to operate, secure, improve, and provide the Services according to your settings, instructions, and applicable law. This license ends when the content is deleted from active systems, except for limited backups, legal retention, safety records, content shared by others, and de-identified information.

You represent that you have all rights and permissions needed to upload and share User Content, including consent from people shown or heard in media. For a minor's content, the authorized parent or guardian represents that the required permissions have been obtained. Do not upload copyrighted game film, music, broadcast footage, or third-party media unless authorized.

Scout Signal may remove, restrict, blur, label, preserve, or disable User Content that violates these Terms, creates safety or privacy risk, infringes rights, is subject to a valid legal request, or may harm the Services or users. We are not required to pre-screen all content.

10. Scout Assist AI

Scout Assist provides AI-assisted information, explanations, filtering, content suggestions, drafts, and training support. Output can be wrong, incomplete, outdated, biased, or inappropriate for a particular athlete or situation. Review output before acting, sharing, or sending it.

  • Scout Assist does not provide medical diagnosis, treatment, emergency response, legal advice, financial advice, official eligibility rulings, or guaranteed recruiting advice.
  • Scout Assist does not make final recruiting, scholarship, admissions, employment, discipline, safety, or healthcare decisions.
  • Users must not enter private information they lack authority to disclose or rely on AI output where a qualified professional or official source is required.
  • AI-generated outreach remains a draft and must be reviewed and manually sent by an authorized user. Scout Signal may apply safety rules, source limits, confidence labels, and human-review requirements.

11. PeakX training, nutrition, recovery, and readiness

PeakX features provide general educational and sports-development information. They do not replace a physician, athletic trainer, physical therapist, registered dietitian, mental-health professional, or emergency care. Stop activity and seek qualified help for pain, injury, dizziness, breathing problems, chest pain, fainting, suspected concussion, eating-disorder concerns, or other warning signs.

Users are responsible for choosing age-appropriate activities, using safe equipment and conditions, following supervision requirements, checking allergies and dietary needs, and obtaining medical clearance when appropriate. Parents and organizations are responsible for supervision of minors. Scout Signal does not guarantee calorie, nutrient, workout, or readiness estimates.

12. Sentric cognitive training and mental-wellness boundaries

Sentric and cognitive-training features are intended for focus, reaction, pattern recognition, decision practice, and sports learning. They are not medical devices, concussion tests, neuropsychological evaluations, or mental-health treatment. Scores should not be used alone to diagnose a condition, clear return to play, punish an athlete, or determine educational or employment eligibility.

A user with a suspected concussion, mental-health crisis, or other urgent concern should stop and seek an appropriate qualified professional or emergency service. Scout Signal may provide safety prompts but does not monitor continuously and cannot guarantee detection of risk.

13. Video, computer vision, biometrics, and future features

Video analysis, pose estimation, form checks, play analysis, wearable connections, live event tracking, or biometric-enabled features may be introduced later. Any such feature is subject to separate notices, permissions, technical limitations, and safety rules. Computer-vision output is an estimate and must not be treated as a medical diagnosis, identity guarantee, official measurement, or substitute for qualified observation.

Scout Signal does not authorize facial recognition or biometric identification unless the feature is expressly launched with legally required notice, written consent, purpose limits, disclosure rules, retention and deletion terms, security controls, and attorney review.

14. Events, partners, facilities, capture services, and third parties

Scout Signal may list or connect users with events, teams, leagues, trainers, recovery providers, cognitive providers, photographers, videographers, media crews, facilities, sponsors, and other partners. Listings, verification, badges, featured placement, or sponsorship do not guarantee quality, availability, safety, insurance, licensing, results, or suitability.

Transactions or services provided by an independent third party may be governed by that party's terms, waivers, cancellation rules, privacy policy, and insurance. Users should perform their own review. Providers working with minors must follow parent-consent, media-release, privacy, safeguarding, and professional-conduct requirements.

15. Payments, subscriptions, trials, and payouts

Some features may be free and others may require payment. Prices, plan features, trial terms, billing period, taxes, renewal, and cancellation details will be shown at purchase. By starting a recurring subscription, the purchaser authorizes the disclosed recurring charges until cancellation. A parent or guardian must authorize purchases for a minor.

Unless stated otherwise at checkout or required by law, cancellation stops future renewal and access continues through the paid period. Refunds, credits, promotional offers, and trial eligibility follow the terms shown at purchase and applicable law. App-store purchases may be controlled by the app store's billing and refund rules.

Marketplace or partner payouts may be processed by a third-party payment provider and may require identity, tax, banking, fraud, reserve, or dispute information. Scout Signal may withhold, reverse, delay, or offset amounts when reasonably necessary for refunds, chargebacks, fraud, legal compliance, or agreement violations, subject to applicable law and the applicable payout terms.

16. Third-party services

The Services may use or link to third-party products, APIs, app stores, payment processors, video hosts, nutrition and workout databases, analytics tools, identity providers, teams, events, or websites. Scout Signal does not control independent third-party content or practices. Use of a third-party service may be subject to separate terms and privacy policies. Integrations may change or become unavailable.

17. Scout Signal intellectual property

The Services, software, design, branding, logos, databases, documentation, text, graphics, and Scout Signal-created content are owned by Scout Signal or its licensors and protected by law. Subject to these Terms, Scout Signal grants you a limited, personal, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. No other rights are granted.

You may not use Scout Signal names, marks, screenshots, designs, or materials to imply endorsement or affiliation without written permission. Suggestions or feedback may be used by Scout Signal without restriction or compensation, provided we do not publicly identify you without permission.

18. Copyright complaints

Scout Signal respects intellectual-property rights and expects users to do the same. If you believe content on the Services infringes your copyright, send a notice consistent with the Digital Millennium Copyright Act (17 U.S.C. § 512) to our copyright contact below. Your notice should include: identification of the copyrighted work; identification and location of the allegedly infringing material; your name, mailing address, telephone number or email; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature.

If material you posted was removed and you believe the removal was a mistake or misidentification, you may submit a counter-notice containing the information required by 17 U.S.C. § 512(g) to the same contact. We may terminate accounts of repeat infringers and may forward notices to the affected user or to third parties as permitted by law.

19. Suspension and termination

You may stop using the Services or request account deletion at any time, subject to the Privacy Policy and any legal retention requirements. A parent or guardian may request closure of a linked minor account.

Scout Signal may suspend, restrict, or terminate access, remove content, revoke roles or verification, or decline to provide the Services when we reasonably believe it is necessary to protect users or minors, enforce these Terms, address suspected fraud or unlawful activity, respond to legal requirements, or protect the security and integrity of the Services. Where reasonable, we will provide notice and an opportunity to address the issue, but we may act immediately when safety, security, or legal obligations require it.

Upon termination, your license to use the Services ends. Sections that by their nature should survive - including user-content permissions needed to wind down the account, payment obligations, disclaimers, limitation of liability, indemnification, dispute terms, and general provisions - survive termination.

20. Disclaimers of warranties

THE SERVICES, INCLUDING ALL CONTENT, PROFILES, LISTINGS, EVENTS, AI OUTPUT, TRAINING AND WELLNESS FEATURES, AND THIRD-PARTY MATERIALS, ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SCOUT SIGNAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Scout Signal does not warrant the conduct, qualifications, or claims of any user, coach, scout, recruiter, organization, event, or partner, and does not guarantee recruiting exposure, offers, scholarships, admissions, eligibility, performance improvement, or health outcomes. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.

21. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GAMEFILMSOLUTIONS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, OR REPUTATIONAL HARM, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF GAMEFILMSOLUTIONS LLC FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SCOUT SIGNAL FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, and nothing in these Terms limits liability that cannot be limited by law, including liability arising from gross negligence, willful misconduct, or fraud, or non-waivable consumer rights.

22. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless GAMEFILMSOLUTIONS LLC and its members, managers, officers, employees, contractors, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: your User Content; your use or misuse of the Services; your violation of these Terms, applicable law, or recruiting, eligibility, or safeguarding rules; your interactions or transactions with other users, organizations, events, or partners; or your infringement of another person's rights. For a minor account, the responsible parent or guardian accepts this obligation to the extent permitted by law. We may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate.

23. Governing law, venue, and dispute resolution

These Terms and any dispute arising from them or the Services are governed by the laws of the State of New York, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing a claim, contact support@scout-signal.com and give us a reasonable opportunity to resolve the issue informally. Any dispute that cannot be resolved informally must be brought exclusively in the state or federal courts located in Suffolk County, New York, and you and Scout Signal consent to personal jurisdiction and venue there, except that either party may seek relief in small-claims court where eligible or injunctive relief to protect intellectual property or user safety in any court of competent jurisdiction.

TO THE EXTENT PERMITTED BY LAW, YOU AND SCOUT SIGNAL EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Any claim must be filed within one year after it accrues unless a longer period is required by law.

24. Changes to the Services and these Terms

Scout Signal may add, change, suspend, or discontinue features at any time, including as products move from early access to general availability. We may update these Terms to reflect changes in law, features, safety practices, or business operations. We will post the updated Terms with a revised "Last Updated" date, and for material changes we will provide reasonable advance notice, such as email, in-product notice, or a prominent posting. Continued use of the Services after a change takes effect constitutes acceptance; if you do not agree, stop using the Services and, if applicable, cancel your subscription before the change takes effect.

25. General provisions

  • Entire agreement. These Terms, the Privacy Policy, and any feature-specific terms are the entire agreement between you and Scout Signal regarding the Services.
  • Severability. If a provision is found unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in effect.
  • No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment. You may not assign these Terms without our written consent. Scout Signal may assign them in connection with a merger, acquisition, reorganization, or sale of assets, subject to applicable law.
  • Force majeure. Scout Signal is not liable for delay or failure caused by events beyond its reasonable control.
  • Notices. We may provide notices by email, in-product message, or posting within the Services. Legal notices to Scout Signal must be sent to the address in Section 26.
  • No third-party beneficiaries. These Terms do not create rights in any third party except as expressly stated.
